These are our Standard Terms and Conditions for All Serviced Office Customers

These terms set out the basis on which the SME Centre of Excellence Ltd (“Licensor”) provides office space to the Licensee (“you/your”).

1. Grant of Licence
1.1 You are granted a non-exclusive licence to:

Use your allocated office for business purposes only (“Permitted Use”).

Access shared facilities (toilets, kitchen, reception, corridors, staircases, etc.) as provided.
-
Access the premises during agreed business hours.
-
Park one private vehicle in the designated parking area (if available).
1.2 You acknowledge:
-
This is a licence, not a lease – no tenancy rights are created.
-
The Licensor retains full possession and control.
-
The licence is personal to you and cannot be transferred or assigned.
-
The Licensor may, with reasonable notice, relocate you to comparable office space within the building if required.
2. Payments
2.1 Licence fees are payable monthly in advance by bank transfer on the first working day of each month.
2.2 In addition, you may be required to pay:

A refundable deposit (to cover damage or unpaid fees).
-
Business rates (unless otherwise agreed in writing).
-
Interest on overdue sums (4% above Barclays Bank base rate).
-
An administration fee for failed payments (£100 + VAT).
-
Charges for additional services you request.
2.3 All payments must be made in full, without deduction or set-off.
3. Term, Renewal & Termination (Licensee)
3.1 Licences are granted for an initial 12 months and automatically renew annually.
3.2 You may terminate by giving two months’ written notice, expiring at the end of the initial term or at the end of any subsequent month.
3.3 You must vacate the office and settle all sums due by the termination date. Licence fees remain payable until all obligations are discharged.
4. Termination (Licensor)
The Licensor may terminate this licence by giving two months’ notice or immediately if:

Payments are overdue by more than 7 days.

You breach these terms.
-
You become insolvent or bankrupt.
-
The building requires closure, repair, redevelopment, or services can no longer be provided.
5. Use of the Premises
You agree:
-
Not to make alterations or install signage without written consent.
-
To keep your office clean, tidy and in good repair.
-
To use the premises only for lawful business purposes (no residential or overnight stays).
-
Not to cause nuisance, noise, or annoyance to others.
-
To comply with health, safety, fire and insurance requirements.
-
To return all keys/fobs at the end of your licence (lost keys charged at £50 + VAT).

Not to keep animals, flammable materials or dangerous substances.
-
Not to obstruct common areas or misuse facilities.
6. Access by Licensor
The Licensor (and contractors) may enter your office at reasonable times to inspect, clean, repair, or carry out works.
7. Insurance
You must:

Insure your own fixtures, fittings and contents.
-
Maintain employer’s liability and public liability cover.
-
Provide evidence of insurance on request.
8. Services Provided
The Licensor provides:

Building insurance (structural only).
-
Maintenance of communal areas, fire alarms, and security systems.
-
Utilities where included in the licence fee.
Internet/telecoms are your responsibility unless otherwise agreed.
9. Condition & Dilapidations
-
You accept the office “as seen” unless otherwise agreed in writing.
-
On leaving, you must remove belongings, leave the office clean, and repair any damage.
-
The Licensor may carry out a dilapidations inspection and charge reasonable costs.
10. Liability
-
The Licensor is not liable for loss/damage to your property or business.
-
Liability for indirect or consequential loss (e.g. loss of profit, data, or opportunity) is excluded.
-
Nothing excludes liability for death or personal injury caused by negligence.
-
Maximum liability is capped at three months’ licence fees.
11. Notices
-
Notices from you must be in writing and sent by recorded delivery to the Licensor’s registered office.
-
Notices from the Licensor may be sent to your office, last known address, or by email.
12. General
-
You must comply with all laws, regulations, and building rules.
-
Temporary closure of the building may occur for safety, repair, or events beyond our control. Licence fees may be suspended at the Licensor’s discretion during closures.

These terms form the entire agreement. Variations must be in writing and signed by the Licensor.
13. Special Terms (if applicable)

One parking space per office.
